PURPOSE OF SITE
The purpose of this Site is to provide the media with press materials and information about TV Land and its programs.
CHANGES TO THE TERMS OF USE AND PRIVACY POLICY
We reserve the right, at our sole discretion, to change, modify or otherwise alter the Terms of Use and Privacy Policy at any time without prior notice. Such changes and/or modifications shall become effective immediately upon the posting thereof. Please review the Terms of Use and Privacy Policy periodically. Your continued use of the Site following the posting of changes and/or modifications will constitute your acceptance of the revised terms and conditions.
ACCESS RESTRICTED TO THE PRESS
Access to certain areas of the Site (e.g., areas permitting the downloading of artwork, logos etc.) will be restricted to members of the press (individually a “Press Member” and collectively the “Press Members”) for editorial purposes only. If you are a Press Member, you may apply for access to these restricted areas by submitting a request for a user name and password in accordance with the onscreen directions. Prior to issuing a user name and password, we will need to verify your press credentials. To this end, you will be required to provide us with certain information which may include, without limitation, your name, e-mail address, contact information, company name and job title. You will not be permitted access to the restricted areas of the Site if: (i) you fail to provide us with all of the requested information, and/or (ii) we are unable to confirm your press credentials after using reasonable efforts to do so.
Upon confirmation of your press credentials, you will be issued a user name and password to access the restricted areas of the Site. Once you have been issued a user name and password, you will be solely responsible for all activities, acts and omissions that occur in, from, through or under your user name and/or password. You agree to immediately notify TV Land of any unauthorized use of your user name and/or password or any other breach of security that comes to your attention. User names and passwords must be kept confidential and may not be shared. No user name and/or password may be transferred without TV Land’s prior written consent. If you are issued a user name and password but at any time cease to remain a member of the press, you agree to immediately stop using your user name and password and notify us so that we may disable your access to the restricted areas of the Site. TV Land shall have the right to terminate your user name and password at any time and for any reason, as further described below.
Pursuant to the terms and conditions contained elsewhere in these Terms of Use, TV Land hereby grants to Press Members a limited, non-exclusive, non-transferable license to use the “Press Materials” (as defined below) solely for purposes of press coverage of TV Land and its programming (e.g., preparation of feature articles, interviews, highlights, reviews and/or listings relating to TV Land and its programming). No other uses of the Press Materials may be made without the express prior written consent of TV Land. Downloaded images may only be used in support of the applicable programming on TV Land (e.g., a photo from “Back to the Grind” may only be used to discuss TV Land’s broadcast of “Back to the Grind”). No changes, alterations or edits whatsoever, or any deletion of author attribution, trademark, legend or copyright notices, shall be made to any such Press Materials. You agree to abide by any information or restrictions contained in or provided with any of the Press Materials. You acknowledge that you do not acquire any ownership or other rights in the Press Materials (other than this limited license) by virtue of your downloading or using such materials or otherwise. All use of TV Land's trademarks and service marks hereunder shall accrue to the sole benefit of TV Land. All use of the trademarks and service marks of TV Land’s licensors hereunder shall accrue to the sole benefit of such licensors. “Press Materials” shall be defined as all press releases, images, information and other materials on the Site directed to the press.
OWNERSHIP OF INTELLECTUAL PROPERTY
All Site software, design, text, images, photographs, illustrations, audio-clips, video- clips, artwork, graphic material, or other copyrightable elements, and the selection and arrangements thereof, and trademarks, service marks, and trade names (the "Material") are the property of TV Land and/or its parent, subsidiaries, affiliates, assigns, licensors, or other respective owners and are protected, without limitation, pursuant to U.S. and foreign copyright and trademark laws. You shall not have the right to use, reproduce, modify, create derivative works from, display, perform, publish, distribute, disseminate, broadcast and/or circulate any Material without the express prior written consent of TV Land, except that Press Members shall have the limited right to use the Press Materials as expressly provided above. You further agree that you will not disassemble, decompile, reverse engineer, or otherwise modify the Material. Any unauthorized or prohibited use may subject the offender to civil liability and criminal prosecution under applicable federal and state laws.
SITE RULES
While using the Site, you agree to comply with all applicable laws, rules and regulations. In addition, while using the Site, you shall not: (i) use the Site or any of the Press Materials or other content, information, images, or other intellectual property thereon for any unlawful purpose; (ii) provide any false, inaccurate, dated and/or incomplete information in an attempt to gain access to the restricted areas of the Site, or attempt to impersonate another individual in order to gain access to the restricted areas of the Site; (iii) remove any copyright, trademark, or other proprietary rights notices, watermarks or other rights protection devices contained on the Site; (iv) restrict or inhibit users from using the Site, including, without limitation, by means of "hacking" or defacing any portion of the Site; (v) "frame" or "mirror" any part of the Site without TV Land’s prior written authorization; (vi) use any robot, spider, site search/retrieval application, or other manual or automatic device or process to retrieve, index, or in any way reproduce or circumvent the navigational structure or presentation of the Site or its contents; or (vii) interfere with or disrupt the Site or servers or networks connected to the Site, or disobey any requirements, procedures, policies or regulations of networks connected to the Site.

INDEMNIFICATION

TERMINATION
You agree that we, in our sole discretion, may terminate your use of the Site (including without limitation, the use of your password and user name), for any reason, including without limitation if we believe that you have violated or acted inconsistently with any of the terms and conditions contained herein. You agree that your access to the Site may be terminated without prior notice, and acknowledge and agree that we may immediately deactivate or delete your password and user name and all related information and/or bar any further access to the Site. MISCELLANEOUS
This Site is intended for residents of the United States only. No software from this Site may be downloaded, exported or reexported in violation of any law including, without limitation, to countries that are subject to U.S. export restrictions. This Agreement contains the entire understanding and supersedes all prior understandings of the parties hereto relating to the subject matter hereof, and cannot be changed or terminated orally. If any provision of this Agreement is found to be illegal or unenforceable, the Agreement will be deemed curtailed to the extent necessary to make it legal and enforceable and will remain, as modified, in full force and effect. We do not link the information collected through cookies to personally identifiable information submitted by visitors when participating in our activities. "Log data" is collected on Web servers within TV Land's control and supplies TV Land with aggregate information about the number of visits to different pages on our site.
